Preamble:

Whereas, HALAN FOR TECHNOLOGY AND SERVICES, (hereinafter referred to as “HALAN”, “We” and/or “Us”) has an e-commerce marketplace consisting of a website and a mobile application with supporting logistics and payment services for the sale and purchase of consumer products and services.

• Customer Terms and Conditions shall apply to HALAN Platform.

HALAN (“HALAN”), an Egyptian joint stock company, operates an e-commerce marketplace consisting of a website (“Website”) and HALAN mobile application (“Mobile Application” or Application) (together “Platform”), for the sale, distribution and marketing of all products and services.

The Present Terms and Conditions, together with the privacy policy, incorporated in the website and mobile application by reference, which describes how HALAN uses, collects and processes the information and data the user, that you have shared with us shall govern your access and use of HALAN’s services.

By checking the “I Agree” button, you hereby acknowledge; (a) you have read the Terms and Privacy policy; (b) you agree and consent to be bound by the Terms and Privacy Policy as they constitute a legally binding agreement between you and HALAN; and (c) you expressly instruct HALAN to communicate specific information about you and your account to third-parties in accordance with HALAN’s applicable Privacy Policy.

You accept that HALAN shall reserve the right at our sole discretionary power to change, add, modify, alter, amend or remove the Terms or any of its features, in whole or in part, without any obligation to notify you. Further, we may update the Terms to reflect changes in, among other things, laws, regulations, rules, technology, systems use, and availability of Third-Party’s Content. We will post the newly amended version of the Terms on our Platform. Amendments shall be effective upon being published on our Platform. You hereby accept that your continued use and access to HALAN’s Services after amendments have been posted constitutes your binding acceptance and consent to be bound by the Terms in its amended version.

HALAN reserves the right to suspend or discontinue your use and access to HALAN’s Service, restrict or terminate the availability of certain Services to you, or delete your account in case we have a reason to believe (in our discretion) that you violated any of the Terms. You agree that any termination or cancellation may be affected without prior notice and that HALAN shall not be liable to you or any other person for such suspension or termination of your access to, or use of our Services.

•  Eligibility & Registration

In order to become a member of our Platform, you must be at least 18 years of age and resident in Egypt. If you are a minor and wish to purchase from our Platform, please have a parent or legal guardian to make the purchase for you. 

In order to register as a member, you will be required to provide us with certain personal information, including, but not limited to, your name, contact number and email address. Furthermore, you have to choose a username and password (“Registration Information”) to create and manage your account. 

You represent and warrant that your Registration Information shall be true, current, accurate, complete and updated, and maintained at all times. You accept that in the event the Registration Information disclosed by you have been proven to be inaccurate, false, incomplete or outdated; HALAN, without prejudice to any other rights or remedies to which HALAN may be entitled, shall reserve the right to suspend, delete your account or restrict your access and use of our Services. 

Moreover, you represent and warrant that you will be solely responsible and liable for any and all loss, damage, and additional costs that we may incur as a result of your submission of any false, incorrect or incomplete information, or your failure to update your Registration Information.

Further, you acknowledge that you will not register under a false name or attempt to impersonate any other person’s Registration Information. Such fraudulent conduct constitutes a violation of the Applicable Law, and will entitle HALAN to indefinitely suspend, limit or withdraw your access and use of our Services, and/or take such further steps as we deem necessary including without limitation filing a legal action against you and demanding remedy.

• Login Credentials

You will be responsible to protect and safeguard the confidentiality of your username and password (“Login Credentials”), and you may not disclose such to any third-party except for your authorized users. You will be responsible before HALAN for all activities occurring under your account whether or not you authorized such activities. You must notify HALAN immediately if you have a reason to believe that the security and integrity of your account have been compromised. You understand that you will be liable before HALAN for any and all losses, damages or liabilities whatsoever resulting from the disclosure of your Login Credentials to any third-party. you also understand that we will not be responsible for any and all losses or damages incurred by you resulting from your account being hacked or your personal information being disclosed to any third-party.

Finally, you may not register more than one account for any whatsoever reason. Otherwise, HALAN may freeze or put a hold on both accounts, or delete either one of them, provided that all financial transactions made on the account shall be settled before deleting it.

You acknowledge to provide HALAN, as may be requested by us from time to time, with valid and authentic supporting documents attesting to your identity. Failing to do so, HALAN shall reserve the right to suspend or delete your account, and/or restrict your access and use of our Services.

HALAN will be entitled to delete unconfirmed accounts or accounts that remain inactive for an extended period of time. 

Subject to your compliance with the Terms and Conditions of the Website as well as registration as a member, HALAN will grant you a limited, non-exclusive, non-transferable and revocable license to access and make personal and non-commercial use of our Services in consistency with the Terms and Conditions.

• Communications & Promotional e-mails

By registering as a member on our Platform, you hereby accept to receive e-mails or text messages regarding the newest changes, features, promotional activities, offers or sales-up. Note that you can always opt out of receiving such e-mails by clicking on the link at the bottom of every promotional e-mail.

Further, you accept that such e-mails or text messages communicated to you electronically shall satisfy any legal requirement that such communications be in writing. 

• Products Liability

You fully understand that HALAN is an online platform allowing you to purchase the Products sold by Vendors through us by displaying them on our Platform, and that even though we accept the purchase and collect the payment of Products on behalf of Vendors, we are not a party to the purchase transaction existing between you and the Vendors. Therefore, any warranty on any Product sold by Vendor through HALAN will be governed by the terms of business of the Vendor of such Product.

HALAN shall not be responsible for unsatisfactory or delayed performance from the Vendors, and has no control over, and makes no representation, whether express or implied, with regard to the availability, quality, safety, merchantability, durability, performance, suitability or fitness of our Products for any particular purpose. 

Therefore, you agree to release and forever discharge HALAN, its affiliates, officers, representatives, partners and agents from any and all claims, obligations, liabilities, disputes, demands, damages, losses or causes of action, of any nature, you have now or may have in the future, arising out of, or in connection with, the use and access of our Services.

Further, you acknowledge that except in the event it has been proven that such damage is attributed to HALAN’s negligence or willful misconduct, that such damage could have been prevented by HALAN or that HALAN has knowingly abstained from informing you of the likelihood of such damage, HALAN shall not be held liable for damages or losses, whether in person or in property, suffered or incurred by you, arising out of, or in connection with, the purchase, possession or use of any Product. Any defect in the Product material, design or workmanship shall be assumed by the Product’s respective Vendor.

Notwithstanding anything herein contained, the foregoing does not include the case where HALAN is the technical agent of the Product in question in Egypt. In such a case, HALAN accepts the purchase and collects the payment on its own behalf.

• Our Content Intellectual Propriety Rights

All content found on our Platform, including page headers, custom graphics, button icons, scripts, descriptions, presentation, arrangement, coordination, enhancement, and other information in text, graphical, video and audio forms, images, icons, software, designs, applications, data, and other elements available on or through the Platform is the exclusive property of HALAN, its suppliers and licensors, or its respective Vendors, and is protected by copyright, trademark, patent and other proprietary rights and laws. 

Any collection or use of our Contents, including downloading, or using of data mining, robots, or similar data gathering and extraction tools is extremely prohibited to you.

You may not copy, modify, or distribute our Content, or otherwise infringe our Platform copyrights and/or trademarks in any way;

HALAN trademarks and logos may not be used in connection with any Product that is not HALAN’s Product or in any manner that disparages or discredits HALAN.

HALAN shall reserve the right to suspend or delete your account and/or take all legal actions against you if you commit any act that may compromise the integrity and security of our Content or infringe upon the intellectual property rights of HALAN, its respective Vendors or licensors, or the personal information of our users. 

• Restrictions of Use:

You hereby represent and warrant that while using our Platform, you will not, either solely or jointly with others, commit or attempt to commit any act that might compromise the integrity, security, performance, proper-working, availability and accessibility to our Platform, including, without limitation:

1. accessing data not intended for you or logging on to a server or an account which you are not authorized to access;
2. probe, scan, test the vulnerability of a system or network, breach security or authentication measures, perform or disclose any benchmarking, availability, performance or testing of the Services; network discovery, port and service identification, vulnerability scanning, password cracking, remote access or penetration tests without proper authorization from HALAN;
3. Distribute viruses, Trojan horses, worms, time bombs, cancelbots, Easter eggs or other computer programming technologies that may harm our Platform or the property of its Users.
4. Manipulating the server, host, or network, including, but not limited to, by means of submitting a computer virus to the Platform, overloading, spamming, mail bombing, or crashing;
5. Using HALAN’s Platform or its data to promote and advertise the products and services of third parties, or using the communications of purchases or sales to complete sales on products offered by other platforms;
6. Circumventing our fee structure, billing process, or fees owed to HALAN.

We will suspend, prohibit, or block your access to our Platform, and/or take all legal actions against you to the fullest extent permitted by law. If you commit any of the aforementioned restrictions of use, and/or violate the Terms and Conditions.

• User’s Obligations

You must pay for the Purchase Price of the Products you ordered, together with shipping charges. You accept and hereby irrevocably authorize HALAN to deduct any pending or outstanding fees from your Wallet, without prior notice. In case the funds in your Wallet were insufficient to pay your dues, we may suspend or delete your account temporarily or permanently, noting that the suspension and/or deletion of your account does not release you from your liability before us for such unpaid dues. Further, HALAN shall reserve the right to take legal action against you for the remainder of the fees and charges due to HALAN.

• Return & Refund Policy  
• Once a Product has been delivered to a User after purchase from the Platform, any return of Product by a User shall be governed by and subject to the terms and conditions set out under this Return and Refund Policy. The terms contained in this Return and Refund Policy shall be accepted without modification and you agree to be bound by the terms contained herein by initiating a request for purchase of Product(s).
• By calling the Company’s Hotline, you may cancel or modify your purchase order within 7 days of placing such order, whether by logging into your account and requesting the cancellation of your order, unless you have already received the product.
• You may return or replace the Product you received (without cause) and you will receive a refund of the purchase price advanced to HALAN, provided that:

1. Return/replacement right is exercised within 14 days following receipt subject to the applicable laws.
2. Product is in the same condition as you received it, and is not opened, used, installed, damaged or altered in any way.
3. Product with its original retail packaging and seal intact.
4. Producing a copy of the original invoice.
5. Product serial numbers and/or UPC are not altered or tampered with in any way.
6. Product is accompanied by user manual, spare parts, accessories and free gifts (if any) received with it.
7. Product is not a clearance or final sale item clearly displaying a non-return policy
8. Product is not on the non-returnable list.

•  You may return or replace the Product you received if the Product is damaged, shows a technical problem, or manufacturing defect or cannot be used in its intended purpose, and you will get refunded the Purchase Price and shipping expenses, provided that:

1. Return/replacement right is exercised within 30 days following receipt.
2. Product is returned with its original retail packaging and serial number intact.
3. Product is returned with its user guide, manuals, accessories and free gifts (if any) that came with it.
4. producing the original invoice (payment slip), price tag, user guide, manuals, and accessories.
5. Operational or functional problems did not occur by reason of Product improper use or installation.
6. Product is not a clearance or final sale clearly displaying a non-return policy.
7. Product is not on the non-returnable list.

If the Product you received is damaged or cannot be used for its intended purpose, we advise you to head to the Product’s technical agent or service center of the manufacturer immediately, and request the issuance of a report attesting to the existence of such damage or defect. In such case, you will be entitled to receive the refund of the full purchase price, charges and shipping expenses within 7 business days of the date of the notice.

Please note that:

1. HALAN shall reserve the right to reject any returns requests for non-compliance with the terms set-forth hereinabove without incurring any liability due to such rejection
2. If products purchased in installments are returned, the amount withdrawn from the consumer finance limit will be returned.
3. You may receive the refund stated hereinabove in the same payment method as stated in the invoice.
4. You shall be entitled to replace the returned Product with another one higher or at least equal in price.
5. We strongly advise you to review the Product with the courier representative before accepting it since you will take responsibility for any scratches, cuts, shortages or colors of the Product you received, and you shall lose your right to request from HALAN the return or substitution thereof.

For the product does not conform to the technical specifications stated on the Platform, you understand and agree, except when HALAN is the technical agent of the Product in Egypt, that the Product’s manufacturer shall be responsible if the Product you received did not comply with the descriptions and specifications displayed on our Platform. HALAN hereby disclaims any representation or warranties with respect to the accuracy, completeness, reliability, suitability, non-infringement or fitness of such descriptions or specifications for a particular purpose.

Further, we hereby disclaim any warranties, whether express or implied, that the Products shall be free of substantial defects or that Products shall function properly for a reasonable period of time.

You understand that you will lose your right to return/exchange a defective Product, if: 

1. Defect is attributed to poor installation, misuse, improper operation, or violation of the user manual of the Product; 
2. Defect is caused by circumstances occurring following the receipt thereof; or 
3. there is a shortage of accessories for the product, including, but not limited to, spare parts, user manual, accessories and free gifts (if any) received with it.

HALAN shall reserve the right, at its sole discretion, to reject any exchange or return request made by you if it does not fulfill any of the abovementioned requirements.

• Disclaimer of Warranty

1. While we endeavor to keep the information we provide up to date, correct and accurate, we make no representations or warranties of any kind, whether express or implied, about the accuracy, correctness, adequacy, validity, reliability, completeness, suitability or availability of the information, descriptions or Content found on our Platform. We hereby disclaim any liability for damages or losses of any kind, arising out of, the use of and reliance upon the information contained in the Platform. Any information contained therein is provided for informational purposes only, and any reliance you place on such information is therefore strictly at your own risk.
2. Except as expressly set-forth herein, HALAN makes no representations or warranties with respect to the availability, reliability, quality, safety, merchantability, durability, non-infringement or suitability of the Products for a particular purpose or of non-infringement of any third party’s intellectual property rights.
3. HALAN makes no representation or warranty as to the availability, existence or continuity of any offer or promotion we make. Offers and prices are changeable at any time, at our discretion, and HALAN cannot confirm the availability, existence or prices of Products and Services advertised on our Platform until you place your order.
4. Even though we make every effort to make our prices accurate, we make no representation as to the accuracy of prices displayed. If the correct price of the Product you ordered is higher than the stated one, we will, at our discretion, contact you before shipping the Product to request whether you want to purchase the Product at the correct price or cancel your order. Otherwise, if the correct price is lower than the stated one, we will charge you the lower price.

• Offers and Discounts 

Flash Sales are offers that last for a short period of time and have huge discounts, and their quantity is limited.

1. These flash sales may be for one product only (unless otherwise stated).
2. Each temporary discount or flash sale shall be applicable and added to the shopping cart only within the flash sales periods. Moreover, the purchase shall be completed before the expiry of the flash sales period; otherwise, the original prices will be charged.
3. You must complete your offer by clicking on the shopping cart to complete the order.
4. Temporary offers of each product are limited. If the product is still available on the website after the temporary offers have expired, the customer may purchase it at its base price.
5. Flash Sales are good for selected featured products only.
6. Discounts of Flash Sales do not include shipping costs.
7. If you return a product of Flash Sales, you will receive the amount paid for such product at the time of the offer. This is subject to the Return and Refund Policy.
8. Installment sale through the Company’s website
9. The Company provides “installment sale” services to the customer though the consumer finance of “Halan for Consumer Finance”.
10. If the products purchased in installments are returned, the amount withdrawn from the consumer finance limit will be returned. 
11. The customer shall have the right to use the payment methods that are available on the platform, e.g. direct payment and installments of consumer finance.

• Confidentiality 

HALAN uses, collects and processes the personal information submitted by you subject to our Privacy Policy pursuant to the applicable laws and regulations.

 HALAN will protect and will not disclose your personal information in accordance with the applicable laws and regulations except to the authorized extent. We shall take all conservative measures and procedures to protect and safeguard your personal information.

We reserve the right to amend, alter or modify the provision of our Privacy Policy at any time, without any liability towards you or any other person, by making the amended version accessible through our Platform. Every time you access and use our Services, you consent to our using, collecting and processing your personal information in accordance with our Privacy Policy as then amended. 

You understand that when you place an order on our Platform to purchase a Product, we shall share your personal information with the Vendor of such Product. Accordingly, the vendor shall be solely responsible for any misuse of your personal information and HALAN hereby disclaims any liability or responsibility with respect to any disclosure or misuse of your personal information by the Vendors.

• Content Instructions to Users

You may interact with HALAN in various ways including posts, reviews, ratings, forums or comments (collectively “Your Content”), through which you may review HALAN’s services and express your satisfaction in respect of the products you have purchased.  

You hereby grant HALAN a perpetual, irrevocable, non-exclusive, unrestricted, royalty-free and assignable license to use, publish, copy, reproduce, modify, edit, or delete Your Content or to take any other actions that HALAN, at its discretion, deems fit.  Also, you hereby transfer, on a perpetual, irrevocable and royalty-free basis, to HALAN all intellectual propriety rights of Your Content, either registered or unregistered. Moreover, all information, data, opinions, comments and any content of yours shall be our exclusive property.

Your Content may not contain any information or material that is, at our discretion:

1. False, inaccurate, deceptive, misleading, or unlawful information or any information that may threaten or depict violence in any way.
2. Racist, derogatory, disrespectful, inappropriate, culturally or religiously offensive information, information that contains intolerance and discrimination, offensive or sarcastic information, or any information that insults a community 
3. Promoting false, fraudulent, inaccurate, deceptive, misleading, libelous, defamatory, slanderous or unlawful information.
4. Illegal, unlawful, infringing any third party’s rights, including but not limited to third-parties’ intellectual property rights or any other rights.
5. Promoting bigotry, racism, violence, threat, hatred or harm or deemed to be against the public interest or the national security
6. Profane, obscene, sexually explicit, containing pornographic material (text or infographic) or indecent representation.
7. Any content that may cause inconvenience or unjustified anxiety to third parties.
8. Intended to solicit any person to buy or sell any product outside of our Marketplace; entice away any user from using our Services or buying Products listed on our Marketplace; encourage any person to make no deals with HALAN; or seek to adversely affect, in any way, the relationship between HALAN and other users.
9. Any content that may infringe upon the applicable laws and regulations, the rights of third parties or any court order.
10. Any content intended to disparage or discredit HALAN.

In case you posted any violating content, HALAN will delete such content and/or will suspend or delete your account on our website, temporarily or permanently, will restrict your use of all or part of our services, or will take any other action that we deem appropriate at our discretion. 

• General Terms

1. All products displayed on our Platform are made available until out of stock. We reserve the right to delete or reject any purchase order you made if such Product is out of stock.
2. In case of offers that include gifts associated with the product, the Company shall have the right to amend the request where the gifts are out of stock and shall compensate the customer with a similar gift or a purchase voucher from the Company.
3. We will send you the purchase receipt/voucher of the Product you received to the e-mail address registered on your account. Therefore, you acknowledge that HALAN shall not be responsible for any incorrect or outdated email-address registered by you. In such a case, you shall have no right to reorder the invoice.
4. In certain cases, an order may not be approved for several reasons. The website operators shall reserve the right to refuse or cancel any order for any reason at any time. Before accepting any order, we may ask you to provide additional or other information to verify your identity and personal data, including, but not limited to, phone number and address.
5. The Company shall have the right to cancel any offer without referring to you, if the product is not received on the specified delivery date. 
6. The Company shall have the right to cancel your purchase order if you abstained from responding to the courier representative or repeatedly refused to schedule a delivery date, provided, however, that if you have already paid for the Product, you shall receive the refund thereof in the same payment method.
7. In all cases, HALAN shall have the right to use all legal procedures to preserve its right towards the product or service vendors or the customers; if the Terms and Conditions or the applicable laws and regulations of all sales, purchases and marketing are violated or in case of cheat or fraud.
